Terms of service

Courtesy translation. In case of discrepancy, the Italian version prevails.

Draft being prepared for launch. Some company details are still to be completed. For information write to info@inventary.it.

1. Provider and subject of the service

The "Inventary" service (the "Service") is provided by [OWNER], VAT no. / tax code [VAT NO. / TAX CODE], with registered office at [REGISTERED OFFICE] (the "Provider"). For any communication: info@inventary.it.

Inventary is a software-as-a-service application for managing inventory, stock, sales, restocking and staff of one or more stores. These Terms govern the relationship between the Provider and the user of the Service (the "User").

2. Acceptance of the Terms

By creating an account or using the Service, the User declares to have read, understood and fully accepted these Terms and the Privacy Policy. If the User does not accept them, they must refrain from using the Service.

The Service is intended for professional/business use by adults. By registering, the User warrants having the necessary authority to bind the business or organization they act for.

3. Account and credentials

The User must provide truthful, complete and up-to-date information when registering and keep it that way. The User is responsible for keeping their credentials confidential, as well as those created for their staff (managers and employees), and for any activity carried out through those accounts.

The User must promptly inform the Provider of any unauthorized access or improper use of their account.

4. Permitted use

The User agrees to use the Service in compliance with applicable law and these Terms. The following are prohibited, by way of example: using the Service for unlawful purposes; attempting to access unauthorized areas or data; reverse engineering, copying or reselling the software; compromising the security or stability of the infrastructure; entering data the User has no right to enter.

5. Plans, subscriptions and payments

The Service is offered through paid subscription plans with different features and limits, described in the "Plans" section. Any promotional conditions are subject to the terms stated at the time of activation.

Where active, recurring payments are handled by the payment provider Stripe; the Provider does not store full card details. Unless otherwise stated, subscriptions renew automatically for the chosen period until cancelled. Prices shown are exclusive of applicable taxes, unless otherwise specified.

Any promotional codes or gift codes are subject to the conditions stated when they were issued and cannot be redeemed for cash.

6. User data and content

The data and content entered by the User (products, prices, sales, records, etc.) remain the property of the User. The User grants the Provider a limited, non-exclusive license to process them solely for the purpose of providing and improving the Service, as described in the Privacy Policy.

The User is solely responsible for the accuracy and lawfulness of the data they enter, and for their right to process it, including any data relating to third parties. The Provider may process usage and sales data in anonymous, aggregated form for statistical purposes, to improve the Service and its own artificial intelligence features (see the Privacy Policy).

7. Intellectual property

The software, the "Inventary" trademark, the interface, the documentation and every element of the Service are owned by the Provider or their respective owners and are protected by copyright and industrial property laws. No right is granted to the User other than to use the Service in accordance with these Terms.

8. Availability and beta phase

The Service is currently offered as a beta version and is provided "as is" and "as available", with no guarantee of continuity, absence of errors or fitness for a particular purpose. The Provider works to keep the Service available but does not ensure a service level (SLA) during the beta.

The Provider may modify, suspend or discontinue, in whole or in part, features of the Service, giving notice where possible.

9. Limitation of liability

To the maximum extent permitted by law, the Provider is not liable for indirect damages, loss of profits, data or goodwill arising from the use of, or inability to use, the Service. Liability that cannot be excluded by law (e.g. willful misconduct or gross negligence) remains unaffected.

The User is encouraged to keep copies of data they consider critical. The Provider takes backup measures but does not guarantee recovery in every circumstance during the beta phase.

10. Suspension and withdrawal

The Provider may suspend or close the account in case of breach of these Terms or unlawful use of the Service. The User may stop using the Service at any time and request deletion of their data, subject to retention obligations required by law.

11. Changes to the Terms

The Provider may update these Terms. Material changes will be communicated through the Service or by email; continued use after the update constitutes acceptance of the new version.

12. Governing law and jurisdiction

These Terms are governed by Italian law. For any dispute, the Court of [COMPETENT COURT] has exclusive jurisdiction, without prejudice to the mandatory jurisdiction provided for consumer protection where applicable.
